Terms of Service

Welcome to Syraverse.
These Terms of Service ("Terms") govern your access to and use of the websites, applications, marketplace, software, APIs, developer tools, participation platform and all related products and services (collectively, the "Services") operated by SYRAVERSE LIMITED ("Syraverse", "we", "our", or "us").
By accessing, browsing, registering for, or using any part of the Services, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the Services.
1. About Syraverse
Syraverse is a unified participation platform that enables organisations and individuals to create, manage, participate in and measure connected customer experiences across digital and real-world environments.
Our Services may include, without limitation:
- participation campaigns;
- interactive missions and challenges;
- digital rewards;
- loyalty programmes;
- marketplaces;
- digital assets and collectibles;
- tickets and event experiences;
- retail activations;
- gaming integrations;
- APIs and SDKs;
- developer services;
- analytics and reporting;
- enterprise tools;
- mobile applications;
- websites;
- artificial intelligence features; and
- any future products or services operated by Syraverse.
Certain Services may be subject to additional terms that supplement these Terms.
2. Eligibility
You may use the Services if you:
- comply with these Terms;
- comply with all applicable laws;
- are legally permitted to use the Services in your jurisdiction.
If you are under the age at which you can legally enter into binding agreements in your jurisdiction, you may only use the Services with the involvement or consent of a parent or legal guardian where required by applicable law.
Some Services, campaigns, promotions or rewards may have their own minimum age requirements. Where applicable, those requirements will be clearly communicated before participation.
Syraverse may refuse or restrict access to certain Services where required by law, regulation or contractual obligations with campaign partners.
3. Definitions
For the purposes of these Terms:
- Account means a registered Syraverse account.
- Organisation means any business, brand, agency, retailer, event organiser, game studio, developer or enterprise customer using the Services.
- Participant means any person using the Services or participating in campaigns.
- Campaign means any experience, mission, promotion, activation, event or programme delivered through Syraverse.
- Digital Asset means any digital reward, badge, ticket, voucher, collectible, virtual item, promotional item or similar content made available through the Services.
- Marketplace means any marketplace operated by or through Syraverse.
- Platform means the Syraverse technology platform and all related Services.
4. Your Account
Some Services require you to create an account.
You agree to:
- provide accurate and complete information;
- keep your information up to date;
- maintain the confidentiality of your credentials;
- notify us promptly of any unauthorised access;
- accept responsibility for activities occurring under your account unless caused by our negligence.
We may request additional information to verify your identity where reasonably necessary to:
- protect the security of the Platform;
- prevent fraud;
- comply with applicable laws;
- administer rewards or payments.
You may not transfer or sell your account without our written consent.
5. Organisations
Organisations using Syraverse represent and warrant that the individual accepting these Terms has authority to legally bind that organisation.
Organisation accounts may include, without limitation:
- Brands
- Agencies
- Game Studios
- Developers
- Retailers
- Event Organisers
- Enterprise Customers
- Technology Partners
Each organisation remains responsible for all activity carried out through its account.
6. Participation Campaigns
Syraverse enables organisations to create connected participation experiences.
Campaigns may involve:
- gameplay;
- mobile applications;
- websites;
- retail visits;
- QR codes;
- purchases;
- event attendance;
- surveys;
- promotional activities;
- social engagement;
- community participation;
- location-based experiences;
- digital interactions;
- partner experiences.
Each campaign may have additional rules published by the campaign organiser.
Where campaign-specific rules conflict with these Terms, the campaign-specific rules shall prevail solely in relation to that campaign.
7. Rewards and Digital Assets
The Services may include physical or digital rewards.
Examples include:
- merchandise;
- discounts;
- vouchers;
- event tickets;
- experiences;
- loyalty benefits;
- promotional items;
- digital assets;
- badges;
- collectibles.
Rewards:
- may be limited in quantity;
- may expire;
- may require identity verification;
- may require successful completion of eligibility requirements;
- are subject to campaign rules.
Syraverse reserves the right to refuse, cancel or revoke rewards obtained through fraud, abuse, technical exploitation or breach of these Terms.
Unless expressly stated otherwise, Digital Assets are licensed for personal use and do not transfer ownership of any underlying intellectual property.
8. Marketplace
The Services may include one or more marketplaces operated by Syraverse that enable Participants and Organisations to discover, redeem, acquire, access or distribute digital rewards, digital assets, products, services and experiences.
Depending on the nature of a transaction, Syraverse may act as:
- the marketplace operator;
- a technology platform;
- a facilitator between buyers and sellers;
- the merchant of record; or
- a service provider acting on behalf of a third party.
The role performed by Syraverse will depend on the specific transaction and will be communicated where applicable.
Certain Marketplace features may require users to create an account, complete identity verification or satisfy additional eligibility requirements.
Transactions involving third-party organisations remain subject to any additional terms, conditions or policies published by those organisations.
Where a separate Marketplace Terms document applies, it shall form part of these Terms and govern your use of the Marketplace. In the event of any conflict, the Marketplace Terms shall prevail in relation to Marketplace activities.
Syraverse reserves the right to suspend, modify or remove Marketplace listings, products, rewards or services where reasonably necessary to:
- comply with applicable laws or regulations;
- protect users or organisations;
- prevent fraud or abuse;
- enforce these Terms;
- maintain the integrity and security of the Platform.
Unless expressly stated otherwise, Syraverse does not guarantee the availability, quality, legality or suitability of products, services or rewards offered by third-party organisations through the Marketplace.
9. Payments
Certain Services may be offered free of charge, while others may require payment.
Where fees apply, they will be clearly communicated before you complete a purchase or subscribe to a paid Service.
By purchasing a paid Service, you agree to pay all applicable fees, charges, taxes and other amounts associated with your use of the Services.
Unless otherwise stated:
- all prices are displayed in the applicable currency;
- taxes may be added where required by law;
- payments must be made using an approved payment method;
- you authorise Syraverse or its authorised payment providers to charge the applicable amount.
Payments are processed by trusted third-party payment providers. Syraverse does not store complete payment card information unless expressly stated.
Failure to pay applicable fees may result in the suspension or termination of access to paid Services.
9.1 Subscriptions
Certain Services may be provided on a recurring subscription basis.
Subscription fees, billing frequency and renewal terms will be presented before purchase.
Unless cancelled in accordance with the applicable subscription terms, subscriptions may renew automatically where permitted by applicable law.
You may cancel a subscription at any time through your account settings or by contacting Syraverse. Cancellation will take effect at the end of the current billing period unless otherwise stated.
9.2 Refunds
Refund eligibility will depend on the specific Service or product purchased.
Unless otherwise required by law, payments are non-refundable once the relevant Service has been provided or a Digital Reward, Digital Asset or other entitlement has been redeemed, activated or consumed.
Nothing in these Terms affects any statutory consumer rights that cannot legally be excluded.
9.3 Promotions
From time to time Syraverse or participating organisations may offer promotional pricing, discounts, vouchers, promotional credits or limited-time offers.
Such promotions:
- are subject to their own terms and conditions;
- may be withdrawn or amended at any time where permitted by law;
- cannot be exchanged for cash unless expressly stated;
- may not be combined with other offers unless permitted.
Syraverse reserves the right to cancel promotions that have been obtained through fraud, abuse or technical error.
9.4 Third-Party Charges
You are responsible for any charges imposed by your internet service provider, mobile network operator or financial institution in connection with your use of the Services.
Syraverse is not responsible for exchange rate fluctuations, banking charges or payment processing fees imposed by third parties.
10. Fair Participation
Syraverse is designed to provide fair, transparent and rewarding participation experiences for all users.
By using the Services, you agree to participate honestly and in accordance with these Terms, any applicable Campaign Rules and all relevant laws.
Users must not engage in any activity intended to gain an unfair advantage or undermine the integrity of the Platform or any Campaign.
10.1 Prohibited Conduct
You must not:
- create or operate multiple accounts to gain an unfair advantage;
- impersonate another person or organisation;
- submit false or misleading information;
- manipulate participation data or campaign outcomes;
- exploit software bugs, vulnerabilities or unintended behaviour;
- use bots, scripts, automation or artificial methods to participate unless expressly authorised;
- interfere with the operation of any Campaign;
- fraudulently obtain Rewards or Digital Assets;
- attempt to circumvent eligibility requirements;
- engage in collusion with other users to manipulate Campaign results;
- abuse referral programmes or promotional offers;
- use stolen, compromised or unauthorised payment methods;
- interfere with other Participants' ability to use the Services.
10.2 Verification
Syraverse may require Participants or Organisations to verify their identity, eligibility or participation where reasonably necessary to:
- administer Campaigns;
- prevent fraud;
- comply with applicable laws;
- issue Rewards;
- investigate suspected abuse;
- protect the integrity of the Platform.
Failure to provide requested information may result in delayed participation, withheld Rewards or suspension of access to the affected Services.
10.3 Fraud Prevention
Syraverse uses automated systems, manual reviews and other fraud prevention measures to protect the Platform.
Where we reasonably believe that fraudulent, abusive or unauthorised activity has occurred, we may:
- suspend or terminate accounts;
- invalidate participation;
- remove Campaign progress;
- cancel or recover Rewards;
- reverse transactions where permitted by law;
- restrict access to future Campaigns;
- notify affected Organisations;
- report unlawful activity to the appropriate authorities where required.
Our decisions will be made reasonably and proportionately, taking into account the available evidence.
10.4 Campaign Integrity
Campaign Organisers may establish additional participation requirements, eligibility criteria and validation processes.
Participants must comply with those requirements in addition to these Terms.
Syraverse reserves the right to invalidate participation that does not satisfy published Campaign Rules.
10.5 Reward Validation
Before issuing certain Rewards, Syraverse or the relevant Campaign Organiser may verify that:
- participation requirements have been satisfied;
- eligibility criteria have been met;
- no fraud or abuse has occurred;
- the Reward remains available.
Completion of a Campaign does not guarantee entitlement to a Reward where verification requirements have not been satisfied.
10.6 Platform Integrity
To maintain a fair environment for all users, Syraverse may investigate behaviour that negatively affects the security, stability or integrity of the Platform.
Users agree to cooperate with reasonable investigations relating to suspected misuse of the Services.
Nothing in this section limits Syraverse's ability to take action where required by law or to protect the security of the Platform and its users.
11. Developer Services & APIs
Syraverse may make available application programming interfaces (APIs), software development kits (SDKs), webhooks, documentation, sample code and other developer resources (collectively, the "Developer Services") to enable integration with the Platform.
Developer Services are provided subject to these Terms and any additional documentation or technical requirements published by Syraverse.
11.1 Licence
Subject to these Terms, Syraverse grants you a limited, non-exclusive, non-transferable and revocable licence to use the Developer Services solely for the purpose of integrating authorised applications and services with the Syraverse Platform.
This licence does not transfer ownership of any Syraverse intellectual property.
11.2 Acceptable Use
When using the Developer Services, you agree to:
- comply with all published technical documentation;
- protect API credentials and access tokens;
- implement reasonable security measures;
- respect any applicable usage limits or rate limits;
- ensure your integrations do not adversely affect the Platform or other users.
You must not use the Developer Services to:
- access data without appropriate authorisation;
- interfere with Platform security or availability;
- introduce malicious software or code;
- reverse engineer or attempt to discover confidential implementation details;
- use the Platform in a manner that breaches applicable laws or these Terms.
11.3 Changes to Developer Services
Syraverse may update, modify or discontinue Developer Services from time to time in order to improve functionality, security or performance.
Where reasonably practicable, Syraverse will provide advance notice of material changes that may affect existing integrations.
You are responsible for ensuring your integrations remain compatible with supported versions of the Developer Services.
11.4 Usage Limits
Syraverse may apply reasonable usage limits, rate limits or technical controls to protect the stability, security and performance of the Platform.
Exceeding published limits may result in temporary restriction or suspension of access until the issue has been resolved.
11.5 Third-Party Integrations
The Platform may integrate with third-party products or services.
Syraverse is not responsible for the availability, functionality or security of third-party products, services or websites, and your use of those services is governed by the applicable third-party terms and policies.
11.6 Security
If you discover a security vulnerability affecting the Platform, you agree to report it responsibly to Syraverse as soon as reasonably practicable.
You must not publicly disclose any security vulnerability until Syraverse has had a reasonable opportunity to investigate and, where appropriate, remediate the issue.
Unauthorised security testing, penetration testing or vulnerability scanning of the Platform is prohibited unless expressly authorised in writing by Syraverse.
12. User Content
The Services may allow you to submit, upload, publish, transmit or otherwise make available content, including text, images, videos, audio, graphics, logos, branding, campaign materials, documents, software, comments, feedback and other materials ("User Content").
You retain ownership of any intellectual property rights you hold in your User Content.
12.1 Licence to Syraverse
By submitting User Content through the Services, you grant Syraverse a worldwide, non-exclusive, royalty-free, transferable licence to host, store, reproduce, process, modify (where technically necessary), display, publish and distribute your User Content solely for the purposes of:
- providing and operating the Services;
- administering Campaigns;
- displaying Marketplace listings;
- enabling integrations;
- improving the Services;
- complying with legal obligations; and
- exercising the rights granted under these Terms.
This licence remains in effect only for as long as necessary to operate the Services or comply with applicable legal obligations.
12.2 Your Responsibilities
You are solely responsible for the User Content you submit.
You represent and warrant that:
- you own or have all necessary rights to submit the User Content;
- your User Content does not infringe any intellectual property, privacy or other legal rights of any person;
- your User Content complies with applicable laws and regulations;
- your User Content does not contain malicious software or harmful code.
12.3 Prohibited Content
You must not submit User Content that:
- is unlawful, fraudulent or misleading;
- infringes intellectual property rights;
- contains defamatory, abusive, threatening or harassing material;
- promotes violence, hatred or discrimination;
- contains malicious software, viruses or other harmful code;
- is obscene or otherwise unlawful;
- violates the privacy or personal rights of another person.
12.4 Moderation
Syraverse may review, moderate, remove or restrict access to User Content where we reasonably believe it:
- breaches these Terms;
- violates applicable laws;
- infringes third-party rights;
- creates security risks;
- threatens the integrity of the Platform or its users.
Where reasonably practicable, we may notify you before removing User Content, unless doing so would be unlawful or create a security risk.
12.5 Feedback
If you provide feedback, ideas, feature requests or suggestions relating to the Services, you agree that Syraverse may use and incorporate that feedback without restriction or obligation to provide compensation, attribution or acknowledgement.
13. Intellectual Property
The Services, including the Syraverse Platform, are protected by copyright, trademark and other intellectual property laws.
Unless otherwise stated, all rights, title and interest in and to the Services remain the exclusive property of Syraverse or its licensors.
This includes, without limitation:
- software and source code;
- platform architecture;
- APIs and SDKs;
- databases and data structures;
- user interface designs;
- graphics and visual assets;
- documentation;
- trademarks and logos;
- service names;
- reports and analytics;
- algorithms;
- artificial intelligence models and features;
- proprietary methodologies;
- website content; and
- all other intellectual property made available through the Services.
Nothing in these Terms transfers ownership of any Syraverse intellectual property to you.
13.1 Limited Licence
Subject to these Terms, Syraverse grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Services solely for their intended purpose.
This licence does not permit you to:
- copy the Services except where expressly permitted;
- modify or create derivative works;
- sell, sublicense or distribute the Services;
- reverse engineer, decompile or disassemble the Services except where such restrictions are prohibited by law;
- remove copyright, trademark or proprietary notices;
- use Syraverse branding without prior written permission.
13.2 Trademarks
"Syraverse", the Syraverse logo and any associated names, logos, product names, slogans and branding are trademarks or unregistered trademarks of Syraverse.
Nothing in these Terms grants you the right to use Syraverse trademarks except with our prior written permission or where expressly authorised under separate branding guidelines.
Third-party trademarks appearing within the Services remain the property of their respective owners.
13.3 Organisation Content
Brands, Agencies, Game Studios and other Organisations retain ownership of their own intellectual property, including:
- trademarks;
- logos;
- campaign assets;
- creative materials;
- software;
- promotional content;
- documentation.
By making such content available through the Services, Organisations grant Syraverse the limited rights necessary to host, display, distribute and process that content solely for the purpose of operating the Services and delivering the relevant Campaigns.
Syraverse does not acquire ownership of Organisation intellectual property through its use of the Platform.
13.4 Copyright Infringement
Syraverse respects the intellectual property rights of others.
If you believe that material available through the Services infringes your copyright or other intellectual property rights, please contact us at:

Your notice should include sufficient information to allow us to identify the material in question and investigate your claim.
Where appropriate, Syraverse may remove or disable access to allegedly infringing material while an investigation is carried out.
13.5 Reservation of Rights
Except for the limited rights expressly granted under these Terms, Syraverse reserves all rights, title and interests in and to the Services.
No rights or licences are granted by implication, estoppel or otherwise.
14. Artificial Intelligence & Automated Features
The Services may include features that use artificial intelligence ("AI"), machine learning or other automated technologies to assist in providing, improving or personalising the Services.
These features may include, without limitation:
- content recommendations;
- campaign creation assistance;
- reporting and analytics;
- moderation tools;
- customer support;
- search and discovery;
- personalisation;
- fraud detection;
- operational automation; and
- other intelligent platform features introduced from time to time.
14.1 AI Outputs
AI-generated content, recommendations, insights or responses are provided for informational and operational purposes only.
While Syraverse aims to provide accurate and useful AI-assisted functionality, AI-generated outputs may:
- be incomplete;
- contain inaccuracies;
- not reflect current information;
- produce unexpected results.
You remain responsible for reviewing and validating AI-generated outputs before relying on them for business, commercial or legal purposes.
14.2 Responsible Use
You agree not to use AI-powered features to:
- generate unlawful or harmful content;
- infringe the rights of others;
- deceive or impersonate another person;
- create fraudulent campaigns or activity;
- interfere with the operation or security of the Services;
- attempt to discover confidential model behaviour or underlying technologies through abusive or automated means.
14.3 Platform Improvements
Syraverse may use aggregated and anonymised usage information to improve AI-powered features and the overall performance of the Services.
Personal information will only be processed in accordance with our Privacy Policy and applicable data protection laws.
14.4 Automated Decisions
Certain platform features may use automated systems to assist with:
- fraud detection;
- account security;
- spam prevention;
- reward validation;
- campaign integrity;
- operational monitoring.
Where legally required, Syraverse will provide appropriate safeguards in relation to automated decision-making involving personal information.
14.5 Availability
AI-powered features may be modified, replaced, suspended or withdrawn at any time as the Platform evolves.
Syraverse does not guarantee the continuous availability or performance of any particular AI feature unless expressly agreed in writing.
15. Privacy
Syraverse is committed to protecting your privacy and handling personal information responsibly.
Our collection, use, storage and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms.
By using the Services, you acknowledge that Syraverse may process your personal information in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and any other applicable privacy legislation.
Where required by law, Syraverse will obtain your consent before processing personal information for specific purposes.

16. Third-Party Services
The Services may contain, integrate with or rely upon third-party products, services, software, websites or platforms.
Examples may include, without limitation:
- payment providers;
- cloud hosting providers;

- communication platforms;
- authentication providers;
- mapping services;
- game platforms;
- social media platforms;
- retail partners;
- event organisers; and
- other technology partners.
Your use of any third-party products or services is subject to the terms and privacy policies of the relevant third party.
Syraverse does not own or control third-party services and is not responsible for their availability, security, accuracy or performance.
Links to third-party websites are provided solely for convenience and do not constitute an endorsement by Syraverse.
Syraverse is not responsible for any loss or damage arising from your use of third-party products or services except where such liability cannot lawfully be excluded.
Where third-party services are integrated into the Platform, Syraverse may exchange information with those services as necessary to provide the requested functionality, subject to our Privacy Policy and applicable law.
17. Service Availability
Syraverse aims to provide a reliable, secure and high-quality Platform. However, we do not guarantee that the Services will always be available, uninterrupted, secure or error-free.
The Services may occasionally be unavailable due to:
- scheduled maintenance;
- emergency maintenance;
- software updates;
- security incidents;
- infrastructure failures;
- telecommunications or internet outages;
- failures of third-party services;
- force majeure events; or
- other circumstances beyond our reasonable control.
Where reasonably practicable, Syraverse will provide advance notice of planned maintenance that is expected to materially affect the availability of the Services.
17.1 Platform Updates
Syraverse may update, enhance, modify or replace any part of the Services from time to time in order to:
- improve functionality;
- enhance security;
- comply with legal or regulatory requirements;
- address technical issues;
- improve performance; or
- introduce new features and capabilities.
Such updates may change the appearance, functionality or operation of the Services.
17.2 Service Changes
As the Platform evolves, Syraverse may introduce, modify or discontinue features, products or Services.
Where reasonably practicable, we will provide notice of material changes that significantly affect existing users.
Nothing in these Terms obliges Syraverse to continue providing any particular feature indefinitely unless expressly agreed in writing.
17.3 Beta Features
From time to time, Syraverse may make preview, beta, trial or experimental features available.
Beta Features are provided for evaluation purposes and may:
- contain bugs or errors;
- change without notice;
- be discontinued at any time;
- have reduced functionality or availability.
Unless otherwise stated, Beta Features are provided "as available" and should not be relied upon for business-critical purposes.
17.4 Maintenance
To maintain the security, stability and performance of the Platform, Syraverse may temporarily suspend access to some or all of the Services while maintenance is carried out.
Where possible, maintenance will be scheduled to minimise disruption to users.
17.5 No Guaranteed Availability
Unless expressly agreed under a separate written service agreement, Syraverse does not provide any guaranteed service levels, uptime commitments or response times.
Any service level commitments will only apply where expressly set out in a separate written agreement between Syraverse and the relevant Organisation.
18. Suspension & Termination
Syraverse may suspend, restrict or terminate access to the Services where we reasonably believe it is necessary to:
- protect the security or integrity of the Platform;
- investigate suspected fraud or unlawful activity;
- prevent harm to other users, Organisations or third parties;
- comply with applicable laws or regulatory requirements;
- enforce these Terms or other applicable agreements;
- protect the rights, property or reputation of Syraverse or others.
Where reasonably practicable, we will notify you of any suspension or termination and explain the reasons for our decision, unless doing so would:
- be unlawful;
- compromise an investigation;
- create a security risk; or
- expose another person to harm.
18.1 Suspension
A suspension may be temporary or permanent depending on the circumstances.
During a suspension, Syraverse may restrict access to some or all of the Services, including:
- your Account;
- Campaign participation;
- Marketplace access;
- Rewards;
- APIs;
- Organisation tools; and
- other Platform features.
Where appropriate, access may be restored once the issue giving rise to the suspension has been resolved.
18.2 Termination by You
You may stop using the Services at any time.
You may request the closure of your Account by following the account settings within the Platform or by contacting Syraverse.
Closing your Account does not automatically remove information that Syraverse is required to retain for legal, regulatory, fraud prevention or legitimate business purposes.
18.3 Termination by Syraverse
Syraverse may terminate your Account where:
- you materially breach these Terms;
- you repeatedly breach these Terms;
- fraudulent or unlawful activity is identified;
- information provided to us is materially false or misleading;
- continued access would create a security, legal or regulatory risk;
- we are required to do so by law or a competent authority.
Where appropriate, Syraverse may provide an opportunity to remedy a breach before terminating an Account.
18.4 Effect of Termination
Upon termination:
- your right to use the Services immediately ceases;
- licences granted to you under these Terms terminate;
- access to your Account may be removed;
- Campaign participation may end;
- Rewards may be forfeited where permitted by the applicable Campaign Rules or law;
- Organisation access may be removed or transferred in accordance with applicable agreements.
Termination does not affect any rights or obligations that accrued before termination.
18.5 Data Retention
Following suspension or termination, Syraverse may retain certain information where reasonably necessary to:
- comply with legal obligations;
- resolve disputes;
- enforce these Terms;
- detect and prevent fraud;
- maintain security;
- comply with accounting, tax or regulatory requirements.
Personal information will be retained in accordance with our Privacy Policy and applicable data protection laws.
18.6 Surviving Provisions
Any provisions of these Terms that by their nature are intended to survive termination shall continue in effect after your access to the Services ends.
This includes, without limitation, provisions relating to:
- intellectual property;
- confidentiality;
- payment obligations;
- limitations of liability;
- indemnities;
- dispute resolution; and
- governing law.
19. Disclaimers

While Syraverse takes reasonable care in developing, operating and maintaining the Services, we do not warrant or guarantee that the Services will:
- always be available;
- be uninterrupted or error-free;
- be free from vulnerabilities or malicious software;
- meet every user's requirements or expectations; or
- be compatible with every device, operating system or third-party service.
19.1 Information and Content
Information, reports, analytics, recommendations, Campaign information and other content made available through the Services are provided for general informational purposes.
Although Syraverse seeks to ensure that such information is accurate and up to date, we do not guarantee its completeness, accuracy or suitability for any particular purpose.
Users should exercise their own judgment before relying on information provided through the Services.
19.2 Campaigns and Rewards
Campaigns, Rewards, promotions and Marketplace offerings may be created or provided by Syraverse, Organisations or third parties.
Unless expressly stated otherwise, Syraverse does not warrant:
- the availability of any particular Campaign or Reward;
- that Rewards will always remain available;
- that third-party Campaigns will proceed as advertised;
- the quality, safety or suitability of products or services supplied by third parties.
Campaign participation remains subject to the applicable Campaign Rules.
19.3 Third-Party Services
Syraverse is not responsible for the availability, performance, content or security of third-party services that are integrated with or accessible through the Platform.
Your use of such services is governed by the relevant third party's own terms and policies.
19.4 Technical Issues
The operation of the Services may be affected by circumstances beyond Syraverse's reasonable control, including failures of internet services, telecommunications networks, cloud infrastructure, software providers or other third-party systems.
Syraverse is not responsible for interruptions arising solely from such external events.
19.5 No Professional Advice
Unless expressly stated otherwise, nothing provided through the Services constitutes legal, financial, investment, tax, accounting or professional advice.
You remain responsible for obtaining independent advice where appropriate.
19.6 Statutory Rights
Nothing in these Terms excludes, limits or restricts any rights or remedies that cannot lawfully be excluded or limited under applicable law.
If you are a consumer, you may have statutory rights that apply in addition to these Terms.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
This includes liability for:

- any other liability that cannot lawfully be excluded or limited.
20.1 Excluded Losses
To the fullest extent permitted by law, Syraverse shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive losses arising from or in connection with your use of the Services.
This includes, without limitation:
- loss of profits;
- loss of revenue;
- loss of business opportunities;
- loss of contracts;
- loss of anticipated savings;
- loss of goodwill;
- loss of reputation;
- loss or corruption of data;
- business interruption; or
- any similar indirect or consequential loss.
20.2 Direct Losses
Subject to these Terms and applicable law, Syraverse's liability for direct losses arising from the use of the Services shall be limited to losses that are reasonably foreseeable as a direct consequence of our breach of these Terms.
20.3 Liability Cap
Where permitted by applicable law, Syraverse's total aggregate liability arising out of or relating to the Services shall not exceed the greater of:
- the total fees paid by you to Syraverse during the twelve (12) months immediately preceding the event giving rise to the claim; or
- one hundred pounds sterling (£100),
unless a different liability limit has been expressly agreed in a separate written agreement.
20.4 Enterprise Agreements
Where an Organisation has entered into a separate written agreement with Syraverse, including an Enterprise Agreement, Partner Agreement or Master Services Agreement, the liability provisions contained in that agreement shall prevail to the extent of any inconsistency.
20.5 Third-Party Products and Services
Syraverse is not liable for losses arising solely from:
- products or services supplied by third parties;
- third-party Campaigns;
- third-party Marketplace listings;
- third-party payment providers;
- external platforms or integrations; or
- events outside Syraverse's reasonable control.
20.6 User Responsibility
You are responsible for:
- maintaining appropriate backups of your data where relevant;
- protecting your Account credentials;
- ensuring that the Services are suitable for your intended use;
- complying with applicable laws and Campaign Rules.
Failure to take reasonable steps to protect your own interests may reduce or exclude any claim to the extent permitted by law.
20.7 Consumer Rights
Nothing in these Terms affects any statutory rights that you may have as a consumer under applicable law.
21. Indemnity
To the extent permitted by applicable law, you agree to indemnify and keep indemnified Syraverse, its directors, officers, employees, contractors, affiliates and licensors against any claims, liabilities, losses, damages, costs and reasonable legal expenses arising directly from:
- your material breach of these Terms;
- your unlawful use of the Services;
- your infringement of the intellectual property or other legal rights of a third party;
- fraudulent or dishonest conduct by you;
- User Content that you submit in breach of these Terms; or
- your breach of any applicable law or regulation.
This indemnity applies only to the extent that the relevant claim or loss results from your acts or omissions.
21.1 Organisation Accounts
Where an Organisation uses the Services, the Organisation is responsible for ensuring that its authorised users comply with these Terms.
An Organisation agrees to indemnify Syraverse against claims, losses and reasonable costs arising directly from:
- Campaigns created or operated by the Organisation;
- Organisation Content that infringes third-party rights;
- unlawful or misleading promotional activity;
- misuse of the Services by its authorised users acting on its behalf; or
- breaches of these Terms by the Organisation.
21.2 Cooperation
Where Syraverse seeks to rely on this indemnity, we will:
- notify you promptly of the relevant claim where reasonably practicable;
- provide reasonable information about the claim;
- take reasonable steps to mitigate any loss where appropriate; and
- allow you, where appropriate and lawful, to participate in the defence or settlement of the claim.
Syraverse will not settle any claim in a manner that imposes a material admission of liability or financial obligation on you without first giving you a reasonable opportunity to comment, unless required by law or a competent authority.
21.3 Limitations
Nothing in this section requires you to indemnify Syraverse for losses arising solely from:
- Syraverse's own negligence;
- Syraverse's wilful misconduct;
- Syraverse's breach of these Terms; or
- any matter for which liability cannot lawfully be transferred or excluded under applicable law.
22. Changes to the Services & Terms
Syraverse is continually developing and improving the Services. As a result, we may update the Platform, introduce new features, modify existing functionality or update these Terms from time to time.
22.1 Changes to the Services
We may modify, enhance, replace or discontinue any part of the Services where reasonably necessary to:
- improve functionality or user experience;
- enhance security;
- address technical issues;
- comply with legal or regulatory requirements;
- respond to changes in technology or market conditions; or
- introduce new products, features or services.
Where reasonably practicable, we will provide advance notice of material changes that significantly affect existing users.
Unless expressly agreed in writing, Syraverse is not obliged to continue providing any particular feature or functionality indefinitely.

These Terms constitute the entire agreement between you and Syraverse regarding your use of the Services, unless otherwise expressly agreed in writing.
23.1 Entire Agreement
These Terms, together with any documents expressly incorporated by reference (including our Privacy Policy, Cookie Policy, Acceptable Use Policy, Marketplace Terms, Partner Terms and any applicable Campaign Rules), constitute the entire agreement between you and Syraverse relating to your use of the Services.
They supersede all previous discussions, understandings or agreements relating to the same subject matter.
23.2 Severability
If any provision of these Terms is found by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable or, where that is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect.
23.3 No Waiver
If Syraverse delays or chooses not to enforce any provision of these Terms, this does not mean that we waive our right to enforce that provision or any other provision at a later time.
Any waiver must be made expressly and in writing.
23.4 Assignment
You may not assign, transfer or otherwise dispose of your rights or obligations under these Terms without Syraverse's prior written consent.
Syraverse may assign or transfer its rights and obligations under these Terms in connection with:
- a corporate restructuring;
- a merger or acquisition;
- the sale of all or substantially all of its business or assets; or
- any other lawful business reorganisation.
Any such assignment will not reduce your rights under these Terms.
23.5 Force Majeure
Syraverse shall not be responsible for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control.
These circumstances may include:
- natural disasters;
- fire;
- flood;
- war;
- terrorism;
- civil unrest;
- labour disputes;
- epidemics or pandemics;
- governmental action;
- internet or telecommunications failures;
- failures of cloud providers or other critical infrastructure; or
- other similar events beyond our reasonable control.
23.6 No Partnership or Agency
Nothing in these Terms creates or shall be interpreted as creating:
- a partnership;
- a joint venture;
- an employment relationship;
- an agency relationship; or
- any fiduciary relationship,
between Syraverse and any user or Organisation.
23.7 Third-Party Rights
Except where expressly stated otherwise, a person who is not a party to these Terms has no right to enforce any provision of these Terms.
23.8 Electronic Communications
You agree that Syraverse may provide notices, disclosures, agreements and other communications electronically, including through:
- the Platform;
- email;
- your Account; or
- other electronic means permitted by law.
Electronic communications satisfy any legal requirement that such communications be provided in writing, unless applicable law requires otherwise.
23.9 Interpretation
In these Terms:
- headings are provided for convenience only and do not affect interpretation;
- references to "including" or similar words mean "including without limitation";
- references to the singular include the plural and vice versa where the context requires;
- references to any law include amendments, replacements and successor legislation.
23.10 Survival
Any provision of these Terms which, by its nature, is intended to survive termination shall remain in effect after your use of the Services ends.
This includes, without limitation:
- intellectual property;
- payment obligations;
- confidentiality;
- limitations of liability;

- any other provision intended to survive termination.
24. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them, their subject matter or your use of the Services, shall be governed by and construed in accordance with the laws of England and Wales.

If you have a concern or dispute relating to the Services, we encourage you to contact Syraverse first so that we can attempt to resolve the matter promptly and fairly.
Most issues can be resolved without formal legal proceedings.
24.2 Jurisdiction
Subject to any mandatory rights available under applicable consumer protection laws, the courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms or the Services.
If you are a consumer residing in another jurisdiction where mandatory consumer laws grant you the right to bring proceedings in your local courts, nothing in these Terms affects those statutory rights.
24.3 Alternative Dispute Resolution
Where appropriate, the parties may agree to attempt to resolve disputes through negotiation, mediation or another recognised form of alternative dispute resolution before commencing court proceedings.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect its legal rights.

You are responsible for ensuring that your use of the Services complies with all laws and regulations that apply to you in your jurisdiction.
Syraverse operates globally, but certain features, Campaigns, Rewards or Marketplace offerings may not be available in every country and may be subject to local legal restrictions.
